Parsellion — Terms of Service

**Last updated: 09/14/2026**

**DRAFT — NOT LEGAL ADVICE.** This is a practical starting draft. Because you

operate as an individual sole proprietor (no corporate liability shield) and the

service processes other parties' financial documents, the limitation-of-liability

and disclaimer sections below are especially important and should be reviewed by a

licensed attorney before launch. Bracketed items **[LIKE THIS]** need your input.

1. Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you ("you" or

"your") and **ANIL CHEERALA**, a sole proprietor based in Texas, United

States, doing business as "Parsellion" ("Parsellion," "we," "us," or "our"). They

govern your access to and use of the Parsellion web application and API at

parsellion.ai (the "Service").

By creating an account or using the Service, you agree to these Terms and to our

Privacy Policy. If you do not agree, do not use the Service.

2. Who may use the Service

The Service is intended for business use by users in the United States who are at

least 18 years old. By using it, you represent that you meet these requirements and

that you have authority to accept these Terms, including on behalf of any

organization you represent.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials

and for all activity under your account. Notify us promptly at **[YOUR CONTACT

EMAIL]** of any unauthorized use. We may suspend or terminate accounts that violate

these Terms.

4. The Service

Parsellion extracts structured data from documents you provide, and offers related

features such as document matching, organization, and optional import from sources

you connect. The Service relies on automated processing, including third-party AI

systems, and is provided on an "as is" and "as available" basis.

**No guarantee of accuracy.** Automated extraction and matching are not perfect. The

Service may produce incomplete or incorrect results. **You are responsible for

reviewing and verifying all output before relying on it**, particularly for

financial, accounting, payment, or other consequential decisions. Parsellion is a

tool to assist you; it is not a substitute for your own review and professional

judgment.

5. Your content

**You retain ownership** of the documents and data you submit ("Your Content"). You

grant us a limited license to process, store, and display Your Content solely to

provide and operate the Service for you, including transmitting document contents to

our processing providers (see the Privacy Policy).

**You are responsible for Your Content**, including that you have the right to

submit it, that submitting it does not violate any law or third-party right, and

that it does not contain anything you are not permitted to share. Do not submit

content you do not have the right to process.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law;
  • Submit content that infringes others' rights or that you lack authority to submit;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Interfere with or disrupt the Service, or circumvent usage limits, rate limits,

or security measures;

  • Use automated means to scrape, harvest, or extract data from the Service beyond

the functionality we expressly provide; or

  • Resell, sublicense, or provide the Service to third parties except as expressly

permitted.

7. Intellectual property; restrictions on copying

**Our rights.** The Service — including its software, design, user interface,

workflows, features, underlying methods, documentation, and all related

intellectual property — is owned by Parsellion and protected by intellectual

property and other laws. Except for the limited right to use the Service under these

Terms, no rights are granted to you.

**Restrictions.** You may not, and may not permit or assist any third party to:

  • Copy, reproduce, republish, or create derivative works of the Service or any part

of it, except as expressly permitted;

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the

source code, structure, or underlying ideas, algorithms, or methods of the

Service, except to the limited extent this restriction is prohibited by applicable

law;

  • Replicate, reproduce, or imitate the Service's features, functionality, workflows,

or design for the purpose of building or offering a competing product or service;

  • Access the Service to build a similar or competing product, or to copy its

features or user experience; or

  • Remove, obscure, or alter any proprietary notices.

These restrictions are a material part of the value we provide and survive

termination of your account.

**Feedback.** If you give us suggestions or feedback about the Service, we may use

it without restriction or obligation to you.

8. Fees

**[The Service does not currently charge fees. When you introduce paid plans, add

billing terms here — pricing, billing cycle, payment processor, refunds,

auto-renewal, taxes, and what happens on non-payment. This section is a placeholder

until payments are live.]**

9. Third-party services

The Service integrates with third-party services (for example, Google Drive and

email providers) at your option. Your use of those services is governed by their own

terms and privacy policies. We are not responsible for third-party services, and

connecting them is at your discretion.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND,

WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED

WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND

NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-

FREE, OR SECURE, OR THAT ANY EXTRACTED DATA OR MATCH RESULT WILL BE ACCURATE OR

COMPLETE. YOU USE THE SERVICE, AND RELY ON ITS OUTPUT, AT YOUR OWN RISK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARSELLION WILL NOT BE LIABLE FOR ANY

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS

OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR

INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING

OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU

PAID US FOR THE SERVICE IN THE **[12]** MONTHS BEFORE THE CLAIM, OR (B) **[US$100]**.

**[Because you operate as a sole proprietor without a liability shield, discuss these

limits — and whether to form an LLC before launch — with an attorney. Forming an LLC

is one of the most valuable protective steps you can take and is worth doing before

you have paying customers.]**

12. Indemnification

You agree to indemnify and hold harmless Parsellion from any claims, losses, or

expenses (including reasonable attorneys' fees) arising out of your Content, your use

of the Service, or your violation of these Terms or any law or third-party right.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or

terminate your access if you violate these Terms or if we discontinue the Service.

Sections that by their nature should survive termination — including intellectual

property, restrictions, disclaimers, limitation of liability, and indemnification —

survive.

14. Changes to the Service and these Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may

also update these Terms; for material changes we will provide notice through the

Service or by email, and the "Last updated" date will change. Your continued use

after a change takes effect means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its

conflict-of-laws rules. **[You and we agree that any dispute will be resolved in the

state or federal courts located in [YOUR COUNTY], Texas — OR — through binding

arbitration. Choose one with your attorney; arbitration and class-action-waiver

clauses have specific legal requirements.]**

16. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you

and Parsellion regarding the Service. If any provision is found unenforceable, the

rest remain in effect. Our failure to enforce a provision is not a waiver. You may

not assign these Terms without our consent; we may assign them in connection with a

business transfer.
